Non-Disclosure Agreement (NDA)
Nimo Pioneer Program (NPP)
This Non-Disclosure Agreement (the "Agreement") is entered into between the applicant (referred to as "Pioneer" or "Participant") and Nimo PC (referred to as "Company"), collectively referred to as the "Parties."
1. Confidential Information
The Participant acknowledges that during the course of participating in the Nimo Pioneer Program (the "Program"), they will have access to highly confidential, unreleased, and proprietary information about the Company's hardware and software ecosystem, including but not limited to:
- Unreleased EVT/DVT hardware prototypes (including next-gen laptops and AI NAS units).
- Product specifications, thermal designs (e.g., 120W TDP configurations), and unified memory architectures.
- Beta BIOS updates, firmware, and unreleased system optimization tools.
- Local AI inferencing benchmarks, bug reports, and performance logs.
- Internal communications, roadmap discussions, and strategies shared within the closed-door NPP Discord War Room.
Such information will be considered strictly "Confidential Information."
2. Obligations of the Participant
The Participant agrees to the absolute following obligations regarding the Confidential Information (The "Ironclad Rule"):
- Not to disclose, leak, copy, share, or distribute any Confidential Information to third parties, either orally, in writing, or through any public platform, including but not limited to Reddit, GitHub, X (Twitter), YouTube, forums, or tech blogs, without the Company's explicit prior written consent.
- Not to use Confidential Information for any purpose other than fulfilling their testing responsibilities under the Program, including stress testing, local LLM deployment, bug hunting, and community feedback.
- Pre-Approval Requirement: Any public sharing of product performance, benchmark scores, teardown photos, or testing experiences must be expressly pre-approved by the Nimo PC core team before distribution.
- Return of Silicon: If requested by the Company, the Participant will immediately power down and either destroy or return to the Company all prototype hardware, USB drives containing Beta BIOS, and associated materials. Such return shall not release the Participant from their lifelong confidentiality obligations regarding what they witnessed.
3. Exceptions
This Agreement does not apply to information that:
- Becomes publicly available through an official Nimo PC launch or press release.
- Was already legally in the Participant's possession prior to disclosure by the Company.
- Is required to be disclosed by law or governmental authority, provided that the Participant gives the Company immediate notice of such requirement to allow the Company to seek a protective order.
4. Intellectual Property & Co-Creation
The Participant hereby unconditionally and irrevocably grants the Company a perpetual, royalty-free, and worldwide license to use any testing data, crash reports, BIOS tuning parameters, code snippets, and media content (photographs, screenshots, videos) provided by the Participant under this Agreement. All product-related intellectual property developed during the Program will be authorized to the Company. The Company possesses the right to use, modify, and distribute such content for R&D improvements and official marketing purposes, with sensitive personal data anonymized.
5. Duration
The obligations under this Agreement will remain in effect for three (3) years from the date of signing, or until such time as the specific Confidential Information (e.g., a specific hardware model or BIOS version) is officially and globally launched by the Company, whichever occurs first.
6. Breach and Remedies
With great compute comes absolute responsibility. In the event of a breach of this Agreement (such as an unauthorized benchmark leak), the Company reserves the right to immediately terminate the Participant's involvement in the Program, revoke their Discord access, demand the immediate return of all prototype hardware, and pursue aggressive legal remedies, including but not limited to injunctive relief, damages for leaked trade secrets, and attorney's fees.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, with exclusive jurisdiction in the courts of Shenzhen, where Nimo PC is headquartered, without regard to its conflict of law provisions.
8. Agreement to Terms
By checking the box and electronically submitting this compute profile, the Participant agrees to the terms of this Non-Disclosure Agreement, acknowledges the extreme confidentiality of the unreleased silicon, and accepts their legal responsibilities.
